- Securitize said a July 15 Cantor agreement would support onchain IPO and follow-on offering infrastructure.
- The announcement named no issuer, completed offering, offering date, or regulator approval of the agreement.
- FINRA and SEC records support registration and entity facts, not approval of future issuer transactions.
July 15 (Crypto-News.Net) – Securitize Corp., a public tokenization company listed on the NYSE under SECZ, said in a July 15 announcement that it and Cantor Fitzgerald & Co. agreed to support an onchain IPO pathway for public companies using blockchain-based infrastructure in IPOs and follow-on offerings.
The agreement calls for Cantor to use equity-capital-markets and trading capabilities, while Securitize would provide tokenization infrastructure and use Securitize Markets LLC in the offering and settlement process, according to the July 15 announcement. The announcement described the pathway as operating within the established capital-markets framework for traditional public offerings.
Registration background
Securitize Markets is the broker-dealer affiliate named in the announcement. FINRA BrokerCheck identifies Securitize Markets LLC as an active firm with CRD 283256 and SEC number 8-69743.
A FINRA-hosted Form CRS, updated Nov. 8, 2023, says Securitize Markets is registered with the SEC as a broker-dealer and is a member of FINRA and SIPC. The same document says the firm operates an Alternative Trading System named Securitize Markets ATS. The SEC Alternative Trading Systems list lists Securitize Markets ATS as conducted by Securitize Markets LLC in New York.
SEC submissions data identifies Securitize Corp. as the registrant name for ticker SECZ on the NYSE. A July 8 SEC Form 8-K says the Securitize and Cantor Equity Partners II business combination closed on July 1, with Securitize surviving as a wholly owned subsidiary of PubCo. That filing supports corporate background, not the later Securitize-Cantor operating agreement.
Limits and context
The July 15 announcement did not name a public company that would use the pathway, report that any IPO or follow-on offering had taken place, give an offering date, or state that the SEC or FINRA approved the agreement. The FINRA and SEC records above support Securitize Markets registration and entity facts rather than approval of the announced agreement or any future issuer transaction.
The announcement concerns primary-market IPO and follow-on offering infrastructure.
